These Terms of Use ("Terms") govern access to and use of the Klozed platform, websites, and services (collectively, the "Services") operated by Klozed ("Klozed," "we," "us"). By accessing or using the Services, you agree to these Terms on behalf of yourself and any organization you represent.
Klozed provides software that lets settlement and title agents order community-association resale materials and pay applicable fees electronically, and lets community management companies retrieve and process those orders. Klozed facilitates a paperless workflow; it does not provide legal, title, escrow, or financial advice, and it is not a party to the underlying real-estate transaction.
You must be at least 18 and authorized to act for your organization. You are responsible for the accuracy of the information you submit, for maintaining the confidentiality of your credentials, and for all activity under your account.
Resale certificates, disclosure packages, and associated fees are governed by the laws of the state where the property is located, which may cap fees, dictate what must be disclosed, and set delivery deadlines. Fees collected through the Services are set by the applicable association or management company and are collected into a resale account held in the association's name. Klozed does not determine the legality of any fee or the completeness of any disclosure; the association and its management company remain responsible for compliance with applicable law.
Payments are processed by third-party payment processors. You authorize the applicable charges (including any disclosed processing fees) at the time of submission. Except as required by law or association policy, resale fees are generally non-refundable once an order is processed. Klozed does not store raw card details.
You consent to transact electronically and to receive records, disclosures, and notices in electronic form under the federal ESIGN Act and applicable state Uniform Electronic Transactions Act (UETA). You may withdraw consent or request paper copies where the law requires, by contacting us; doing so may limit your ability to use the Services.
You agree not to misuse the Services, including by: submitting false information; accessing data you are not authorized to access; attempting to breach security; scraping; or using the Services to violate any law, including fair-housing, consumer-protection, or privacy laws.
The Services may interoperate with third-party systems (for example, community-management platforms such as CINC Systems and payment processors). Your use of those systems is governed by their terms. Certain integrations and automations are in development and may not be available.
The Services are provided "as is" without warranties of any kind to the maximum extent permitted by law. Klozed is not liable for the acts or omissions of associations, management companies, agents, or third-party providers, or for the accuracy or completeness of documents supplied by others. To the extent permitted by law, Klozed's aggregate liability is limited to the fees you paid to Klozed in the twelve months preceding the claim.
You agree to indemnify Klozed against claims arising from your misuse of the Services or violation of these Terms. These Terms are governed by the laws of the state in which Klozed is organized, without regard to conflict-of-laws rules. We may update these Terms; continued use after changes constitutes acceptance.
